4.1 Order Confirmation & Production Authorization

No production, mold development, or material procurement shall commence until both parties have executed a written purchase order, proforma invoice, or project agreement, and the Client has provided any required deposit payment. Verbal agreements, email discussions, or website inquiries do not constitute a binding order.

4.2 Minimum Order Quantity (MOQ)

The standard MOQ is 200 pieces per design per color. Orders below MOQ may be subject to additional tooling or setup fees at our discretion. MOQ requirements may vary based on product type, mold availability, and material specifications.

4.3 Sample Production

Sample lead time is approximately 7 business days from the date of design approval and receipt of any applicable sample fees. Samples must be reviewed and formally approved by the Client in writing before mass production commences. Any modifications requested after sample approval may result in additional charges and revised lead times.

4.4 Mass Production Lead Time

Standard mass production lead time is 20-30 business days following sample approval, mold preparation completion, and receipt of confirmed deposit. Lead times may vary based on order volume, material availability, and production scheduling. We will notify the Client of any material delays.

4.5 Design & Artwork Submission

Clients are responsible for providing accurate and complete artwork, logos, afmetingen, and specifications. The Company offers a complimentary 24-hour design sketch service to assist clients who lack design resources. Final production artwork must be confirmed in writing by the Client. The Company is not liable for production errors arising from inaccurate or incomplete artwork provided by the Client.

4.6 Quality Control

The Company implements a multi-stage quality control process including incoming material inspection, pre-production sample confirmation, in-process checks, and final inspection before shipment. Acceptance of goods is based on the approved sample standard. Minor variations in color, texture, or dimensions within industry-accepted tolerances shall not constitute a product defect.

4.7 Cancellations & Modifications

Order cancellations or modifications must be submitted in writing. Cancellations after production commencement may result in forfeiture of deposit and charges for materials and labor already incurred. Mold development fees are non-refundable once mold fabrication has commenced.

5.1 Company Intellectual Property

All content on this Website, including but not limited to text, graphics, logos, images, product designs, mold structures, technical documentation, and software, is the exclusive property of Superfect Craft or its licensors and is protected by applicable intellectual property laws. No content may be reproduced, distributed, or used for commercial purposes without prior written consent from the Company.

5.2 Client-Provided Materials

By submitting logos, trademarks, artwork, or other intellectual property to the Company for production purposes, the Client grants the Company a limited, non-exclusive, royalty-free license to use such materials solely for the purpose of fulfilling the confirmed order. The Client warrants that they hold all necessary rights, licenses, and permissions for any submitted materials.

5.3 Client Indemnification for IP Infringement

5.4 Mold Ownership

Molds developed exclusively for a Client using Client-funded tooling fees are the property of the Client upon full payment. However, the Company retains the right to store and maintain such molds on behalf of the Client. Molds developed using the Company's existing mold library remain the exclusive property of the Company.

5.5 Confidentiality

Both parties agree to maintain the confidentiality of proprietary information, designs, pricing, and business terms exchanged during the course of a project. Neither party shall disclose such information to third parties without prior written consent, except as required by law.

6.1 Website Disclaimer

This Website and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Company does not warrant that the Website will be uninterrupted, error-free, or free of viruses or other harmful components.

The Company shall not be liable for any delay or failure in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, labor disputes, supply chain disruptions, pandemic-related restrictions, or transportation failures. The Company will notify the Client promptly of any such event and work in good faith to resume performance as soon as practicable.
