Terms of Service

Please read these terms carefully before using the SuperfectCraft website or engaging our OEM/ODM manufacturing services.

Important Notice

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "User," or "you") and SuperfectCraft ("Company," "we," "us," or "our"), a commercial mat manufacturer registered in Dongguan City, Guangdong Province, China. By accessing our website or engaging our manufacturing services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

Acceptance of Terms

By accessing or using the SuperfectCraft website (the "Site") or by placing an order for our OEM/ODM manufacturing services, you confirm that:

  • You are at least 18 years of age and have the legal capacity to enter into a binding contract.
  • If acting on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
  • You have read, understood, and agree to comply with all provisions set forth herein.
  • You acknowledge that these Terms may be updated periodically and that continued use of the Site or services constitutes acceptance of the revised Terms.

If you do not agree to these Terms, you must immediately discontinue use of the Site and refrain from engaging our services. SuperfectCraft reserves the right to modify these Terms at any time. Material changes will be communicated via the Site with an updated effective date.

Website Use & Acceptable Conduct

2.1 Permitted Use

The Site is provided solely for legitimate business inquiry and informational purposes. You are granted a limited, non-exclusive, non-transferable license to access and use the Site for the purpose of exploring SuperfectCraft's products and services, submitting business inquiries, and obtaining product information for commercial procurement decisions.

2.2 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Copying, reproducing, distributing, or commercially exploiting any content from the Site without prior written consent.
  • Using automated tools, bots, scrapers, or data mining technologies to extract information from the Site.
  • Attempting to gain unauthorized access to any portion of the Site, its servers, or related systems.
  • Transmitting any harmful, fraudulent, misleading, or unlawful content through the Site's contact or inquiry forms.
  • Impersonating any person or entity or misrepresenting your affiliation with any organization.
  • Engaging in any activity that disrupts, damages, or impairs the performance or availability of the Site.

2.3 Third-Party Links

The Site may contain links to third-party websites for reference purposes. SuperfectCraft does not endorse, control, or assume responsibility for the content, privacy practices, or policies of any third-party sites. Accessing such links is at your own risk.

OEM/ODM Manufacturing Services

3.1 Scope of Services

SuperfectCraft provides custom OEM and ODM manufacturing services for bar mats, barber mats, tool mats, and related rubber, PVC, silicone, and non-woven mat products. Services include design consultation, prototyping, sample production, mass manufacturing, quality inspection, and shipment preparation. The specific scope of services for each engagement shall be defined in the applicable purchase order, quotation, or written agreement executed between the parties.

3.2 Minimum Order Quantity (MOQ)

The standard MOQ is 200 pieces per design per color for orders utilizing existing molds. MOQ requirements for new mold development or custom structural designs may vary and will be specified in the project quotation. SuperfectCraft reserves the right to decline orders that do not meet the applicable MOQ.

3.3 Production Lead Times

All stated lead times are estimates and commence from the date of receipt of confirmed artwork, approved samples, and cleared payment as applicable. SuperfectCraft shall not be liable for delays caused by force majeure events, client-side approval delays, or incomplete specifications.

3.4 Design & Artwork Submission

Clients are responsible for providing accurate and complete artwork, logo files, and dimensional specifications. SuperfectCraft offers a complimentary design sketch service with a 24-hour turnaround for clients who lack design resources. The following conditions apply:

  • Client-provided artwork must be submitted in acceptable file formats (AI, PDF, EPS, or high-resolution PNG/TIFF at minimum 300 DPI).
  • Mass production shall not commence until the client has provided written approval of the final design sketch and/or physical sample.
  • Any post-approval design changes may result in additional charges and revised lead times.
  • SuperfectCraft shall not be liable for production errors arising from inaccurate, incomplete, or low-quality client-submitted artwork.

3.5 Sample Approval

Physical sample approval is required prior to mass production. Upon receipt of the sample, the client shall review and provide written confirmation of approval or a list of required revisions within a reasonable timeframe. Failure to respond within 14 calendar days of sample dispatch shall be deemed acceptance. SuperfectCraft shall manufacture in accordance with the approved sample specifications and shall not be responsible for deviations resulting from unapproved changes.

Orders, Pricing & Payments

4.1 Order Confirmation

An order is deemed confirmed only upon receipt of a signed purchase order or written acceptance of a quotation issued by SuperfectCraft, accompanied by the required deposit payment. Verbal agreements, informal communications, or website inquiries alone do not constitute a binding order.

4.2 Pricing & Quotations

All prices are quoted in USD unless otherwise specified and are valid for the period stated in the quotation. Prices are subject to change based on fluctuations in raw material costs, currency exchange rates, or updated specifications. SuperfectCraft reserves the right to revise pricing prior to order confirmation if material cost changes occur. Quoted prices do not include applicable taxes, customs duties, import fees, or shipping costs unless expressly stated.

4.3 Payment Terms

Standard payment terms are as follows, unless otherwise agreed in writing:

  • Deposit: 30-50% of the total order value upon order confirmation to initiate production.
  • Balance: Remaining balance due prior to shipment or upon presentation of shipping documents, as agreed.
  • Mold Fees: New mold development fees are payable in full prior to mold fabrication and are non-refundable once production has commenced.

4.4 Cancellations

Order cancellations must be submitted in writing. Cancellations received after production has commenced may be subject to partial or full forfeiture of the deposit to cover incurred manufacturing costs. SuperfectCraft will make reasonable efforts to mitigate costs upon receiving a cancellation request but cannot guarantee a refund once materials have been procured or production has begun.

Intellectual Property

5.1 SuperfectCraft Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, photographs, product images, design sketches, technical drawings, and software, is the exclusive property of SuperfectCraft or its licensors and is protected by applicable intellectual property laws. No content may be reproduced, distributed, modified, or used for commercial purposes without prior written authorization from SuperfectCraft.

5.2 Client-Provided Materials

The client retains all intellectual property rights in logos, trademarks, designs, and artwork submitted to SuperfectCraft for production purposes. By submitting such materials, the client grants SuperfectCraft a limited, non-exclusive license to use the materials solely for the purpose of fulfilling the agreed order. SuperfectCraft shall not use client-provided materials for any other purpose, including marketing or portfolio display, without express written consent.

5.3 Client Representations Regarding IP

The client represents and warrants that all artwork, logos, trademarks, and designs submitted for production are owned by the client or that the client has obtained all necessary rights, licenses, and permissions to use such materials. The client shall indemnify, defend, and hold SuperfectCraft harmless from any claims, damages, or expenses arising from alleged infringement of third-party intellectual property rights attributable to client-provided materials.

5.4 Custom Mold Ownership

Molds developed exclusively for a client and fully paid for by the client shall remain the client's property, provided all outstanding payments have been settled. SuperfectCraft retains the right to store and maintain such molds at its facility for production purposes. Molds funded partially or wholly by SuperfectCraft remain SuperfectCraft's property unless a separate written agreement provides otherwise.

Confidentiality

Both parties acknowledge that in the course of the business relationship, each may receive or have access to confidential and proprietary information of the other party, including but not limited to product designs, pricing structures, business strategies, client lists, technical specifications, and manufacturing processes ("Confidential Information").

Each party agrees to:

  • Hold all Confidential Information in strict confidence and not disclose it to any third party without prior written consent.
  • Use Confidential Information solely for the purpose of fulfilling obligations under the agreed engagement.
  • Limit access to Confidential Information to personnel who require such access for production purposes and who are bound by equivalent confidentiality obligations.

These confidentiality obligations shall survive the termination or expiration of the business relationship for a period of three (3) years. Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law or court order.

Warranties & Quality Assurance

7.1 Product Quality Commitment

SuperfectCraft warrants that all products manufactured and delivered shall materially conform to the approved sample specifications, agreed dimensions, and specified materials. A final inspection is conducted prior to each shipment to verify conformance. In the event of a documented manufacturing defect attributable to SuperfectCraft, we will, at our discretion, replace the defective goods or issue a credit toward a future order.

7.2 Claim Procedure

Quality claims must be submitted in writing within 14 calendar days of delivery, accompanied by:

  • Clear photographic or video evidence of the defects.
  • A written description specifying the nature and quantity of defective items.
  • The relevant order number and shipment reference.

Claims submitted after the 14-day window, or without adequate supporting documentation, may not be honored. SuperfectCraft shall not be responsible for defects arising from improper use, storage, handling, or modifications made after delivery.

7.3 Disclaimer of Additional Warranties

Except as expressly stated herein, SuperfectCraft makes no additional warranties, express or implied, including warranties of merchantability or fitness for a particular purpose beyond the approved sample specifications. The Site and all informational content are provided on an "as-is" basis without warranty of any kind.

Limitation of Liability

Important Legal Notice

To the maximum extent permitted by applicable law, SuperfectCraft's total aggregate liability to any client for any claim arising out of or related to these Terms or any order shall not exceed the total amount paid by the client for the specific order giving rise to the claim.

In no event shall SuperfectCraft, its directors, officers, employees, agents, or suppliers be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, business opportunities, or goodwill.
  • Damages arising from delays caused by force majeure events, including natural disasters, pandemics, government actions, labor disputes, or supply chain disruptions.
  • Damages resulting from the client's failure to provide accurate specifications, timely approvals, or complete artwork.
  • Any claim arising from the client's use of the finished products in a manner inconsistent with their intended application or in violation of applicable regulations in the destination market.

Some jurisdictions do not permit the exclusion or limitation of certain warranties or liabilities. In such cases, the above limitations shall apply to the fullest extent permitted by law.

Regulatory Compliance & Testing

9.1 Standard Commercial Orders

Standard commercial orders do not inherently require mandatory certification. SuperfectCraft manufactures products using commercial-grade PVC, rubber, silicone, and TPE materials that meet general industrial quality standards.

9.2 Third-Party Testing Arrangements

For orders destined for EU, US, Amazon, or specific brand-regulated markets, SuperfectCraft can arrange third-party laboratory testing upon the client's written request. Supported testing protocols include:

9.3 Client Responsibility for Market Compliance

The client is solely responsible for ensuring that the finished products comply with all applicable laws, regulations, and standards in the destination market, including import requirements, product safety regulations, and labeling obligations. SuperfectCraft's testing support is provided as an accommodation and does not constitute legal or regulatory advice. Testing scope and outcomes depend on the final material composition, color, printing method, and intended use.

Termination

SuperfectCraft reserves the right to suspend or terminate access to the Site or refuse service to any user or client who:

  • Violates any provision of these Terms.
  • Engages in fraudulent, abusive, or unlawful conduct.
  • Fails to fulfill payment obligations.
  • Submits artwork or designs that infringe upon third-party intellectual property rights.

Upon termination, all provisions of these Terms that by their nature should survive termination shall continue to apply, including intellectual property rights, confidentiality obligations, payment obligations, and limitations of liability.

Governing Law & Dispute Resolution

11.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

11.2 Dispute Resolution

In the event of any dispute arising from or relating to these Terms or any order, the parties shall first endeavor to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit the dispute to binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its arbitration rules then in effect. The arbitration shall be conducted in Guangzhou, China, in the Chinese language, and the arbitral award shall be final and binding upon both parties.

11.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitral body of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

11.4 Entire Agreement

These Terms, together with any applicable purchase order, quotation, or written agreement executed between the parties, constitute the entire agreement between the parties with respect to its subject matter and supersede all prior negotiations, representations, warranties, and understandings.
